B2B Terms of sale

1. Applicability
These B2B Terms of Sale apply to all purchases made by or on behalf of a business, including restaurants, cafes, hotels, retailers, caterers, and wholesalers (collectively "business customers"). By placing an order as a business customer, you confirm that you are acting in a professional or commercial capacity and not as a consumer.

In case of conflict between these B2B Terms and the general Terms of Service, these B2B Terms take precedence for business transactions.
2. Orders and confirmation
Orders placed by business customers are binding upon written confirmation by Corkin. Corkin reserves the right to accept or decline any business order at its discretion, including orders involving bulk quantities, suspected resale, or credit concerns. In such cases, the customer will be notified promptly, and any payments already made will be refunded in full.
Corkin may require a signed order form or written agreement for recurring or large-volume supply arrangements.
3. No withdrawal or cancellation rights
Business customers are not entitled to the statutory 14-day withdrawal or cancellation period provided under EU consumer law (Directive 2011/83/EU). This right applies to consumers only.
Orders placed by business customers are binding upon confirmation and may not be cancelled unless expressly agreed in writing by Corkin.
4. Cancellation and restocking
If Corkin agrees to accept a cancellation from a business customer, a cancellation or restocking fee of up to 30% of the order value may apply. This applies in particular to large, reserved, or custom-allocated orders.
For bulk or customised orders, Corkin may require a deposit prior to fulfilment. Deposits are non-refundable if cancellation occurs after stock has been reserved or preparation has begun.
5. Returns
Business customers may return goods only with prior written approval from Corkin. Returns without prior approval will not be accepted.
Approved returns must be in the same condition as received, unopened and sealed, with original packaging and proof of purchase. Return shipping costs are at the business customer's expense unless the return is due to a defect or error on Corkin's part.
6. Payment terms
Unless otherwise agreed in writing, all B2B orders must be paid in full prior to dispatch. Corkin may extend credit terms at its sole discretion on a case-by-case basis.
Late payments accrue statutory commercial interest and collection costs in accordance with Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek).
7. Delivery
Delivery times and schedules are agreed directly with the business customer. Corkin will communicate delivery windows in advance. For regular Horeca supply in Haarlem, standard delivery is on Fridays. Amsterdam deliveries are on Saturdays. Other arrangements are possible on request.
Corkin reserves the right to refuse bulk B2B deliveries where logistical or credit concerns arise. The business customer will be notified promptly.
Risk of loss passes to the business customer upon handover to the carrier or upon direct delivery by Corkin.
8. Pricing and pricelist
B2B pricing is separate from the retail prices shown on corkin.nl. Business customers receive a dedicated wholesale price list. Prices are subject to change with reasonable notice. The price applicable is the one confirmed in the order confirmation.
9. Liability
Corkin's liability to business customers is limited to the invoiced value of the goods in the affected order. No liability is accepted for indirect or consequential damages, including loss of profit, loss of revenue, or reputational harm, unless caused by gross negligence or wilful misconduct on Corkin's part.
10. Age verification and alcohol regulations
All sales of alcoholic beverages are subject to the Dutch Alcoholwet. Business customers are responsible for ensuring that they hold any required licences and permits for the sale or service of alcohol in their jurisdiction. Corkin accepts no liability for the business customer's failure to comply with applicable alcohol regulations.
11. Intellectual property
All content provided by Corkin, including product descriptions, photos, and brand materials, may only be used by business customers for the purpose of selling or promoting Corkin's wines. Use for any other commercial purpose requires prior written consent.
12. Governing law and disputes
These B2B Terms are governed exclusively by Dutch law. Any dispute arising in connection with B2B sales shall be submitted to the competent court in Amsterdam, the Netherlands.
For disputes, Corkin is open to mediation before court proceedings are initiated. Contact hello@corkin.nl to request mediation.
